5\) Once connected, you will be asked to confirm connection. Once confirmed, you will enjoy **one-click permission less trading** on DeriW!

## How do I add Deriw Mainnet chain to my wallet

For this example, we will use ***MetaMask Wallet*** to sign in.&#x20;

1. From the DeriW website, select the wallet of your choice.
2. As you sign in, you will be asked '**Switch to Deriw Chain**'.
3. You can also manually add Deriw Chain:

   * **Network Name:** Deriw Chain
   * **Public RPC**: <https://rpc.deriw.com>
   * **Chain ID:** 2886
   * **Currency Symbol:** ETH

   Then click '**Save**' to add the network.

## What is the gas token on Deriw Mainnet?

The gas token on Deriw Mainnet is ETH. Its is important to note that all trades on DeriW are Gas-Free.

## Add & Withdraw Funds on DeriW

Users can easily add and withdraw funds on the platform using the dedicated Deposit and Withdraw screens. To deposit USDT, you need to bridge funds from Arbitrum to DeriW Chain:

1. Click the "Deposit" button on the Trade page
2. Select USDT from your Arbitrum wallet
3. Enter the amount to bridge (minimum: $10)
4. Confirm the transaction and pay ETH gas fees
5. Wait for blockchain confirmation

**Important Notes:**

* You need ETH on Arbitrum to pay gas fees for bridging
* Minimum deposit: $10
* Funds will appear in your DeriW account balance after confirmation

Both the deposit and withdrawal processes require the user to input the desired Amount and then confirm the transaction.&#x20;

Click on Withraw funds to withdraw funds directly drom DeriW Chain back to Arbitrum Chain on your connected wallet. This transaction does not need gas fees. After confirming the withdrawal, please wait for blockchain confirmation, which typically requires approximately 15 to 30 minutes. The withdrawal fee is subject to the actual amount displayed.

### **Troubleshooting: Deposit Failures (RPC / Network Issues)**

In some cases, users may experience failed deposits due to factors that are **outside of DeriW’s control**. These issues are mainly related to:

#### **1. Wallet RPC Connection**

Your wallet relies on its RPC endpoint to broadcast transactions. If the RPC is unstable, overloaded, or blocked by local network rules, deposits may fail to go through.

#### **2. User’s Local Network / VPN (“Proxy”)**

Some users access DeriW through a VPN or local proxy service.\
If the VPN is unstable or routing traffic incorrectly, it may prevent the transaction from being broadcast successfully.

Because both the **wallet RPC** and the **user’s VPN/proxy** are external to DeriW, we are unable to monitor or control these factors.

**Recommended Fix**

If you encounter a deposit failure:

1. **Try switching your VPN location or temporarily disabling it.**
2. **Change your wallet’s RPC endpoint** to a more stable one (most wallets allow you to select a different RPC).

In most cases, switching the network route or RPC resolves the issue immediately.


# DeriW Explorer Guide

Deriw Explorer is the official blockchain explorer for the Deriw Chain. It provides a range of features and benefits that are valuable for both developers and regular users interested in the Deriw blockchain. Here are some key benefits:

* **Transaction Tracking**: Deriw Explorer allows users to track transactions in real-time. You can verify the status, details, and confirmations of any transaction on the Derow network.
* **Smart Contract Verification**: Users can view and verify smart contract code, ensuring transparency and trust in the decentralized applications (dApps) they interact with.
* **Block Information**: Users can view details about specific blocks, including the block number, timestamp, miner, and transaction count.
* **Token Tracking**: Etherscan provides detailed information about supported tokens, including total supply, holders, and transfer history.

Important information includes the number of daily transactions, wallet addresses connected on Deriw, and live block/transaction information.

## Verify your Transaction Data on Deriw Explorer

To verify whether your transactions were executed on Deriw, the Deriw Explorer offers a great way to confirm. Copy paste your wallet address that you use for trading in the search bar, and you will be shown all information about your transaction data.&#x20;

Tokens highlight the number of tokens you hold on the Deriw Chain. Transactions include all that have been executed on chain.

Just below shows a breakdown of all executed transactions. This is broken down into several sections:<br>

**Token Transfers**: This tab lists the transfer events of tokens (both ERC-20 and ERC-721) associated with the address. This includes details of tokens sent and received by the address.

**Tokens**: This tab shows the list of all tokens held by the address, including the balance of each token.

**Internal Transactions**: This tab displays internal transactions, which are transactions triggered by smart contracts rather than being directly initiated by users. They often involve transfers of value within a smart contract.

**Coin Balance History**: This tab provides a historical view of the coin balance of the address over time.

Each of these tabs provides a different aspect of the activity and assets associated with a specific connected address, giving a comprehensive view of its blockchain interactions.

# Using DeriW on Mobile

DeriW is now supported on Mobile, allowing you to make trades and stay updated on your portfolio whilst on the go.&#x20;

To access DeriW and ensure a smooth trading experience, please ensure the following steps:<br>

1\)  A compatible internet explorer is installed; either the built-in browser on your mobile device or Google Chrome Browser.&#x20;

2\)  MetaMask APP has been installed on your Phone. Also ensure that you already have your account/address set up already. For more information on MetaMask, visit [here](https://metamask.io). \

Visit [www.deriw.com](http://www.deriw.com) on your mobile browser or directly on the browser within the MetaMask APP and select login at the top right corner of the page.

## **Adding a Wallet**

## **Price Chart**

Users have the option to observe the DeriW candlestick price chart, which allows them to track historical pricing within the day or adjust the time interval to view daily, weekly, or monthly data.

## Trade Sidebar

Within the trade sidebar, you have the ability to select your position mode, margin mode, order type, and adjust leverage for your position.

## Order Book

The order book provides a view of the current open orders. It displays price, size, and the available sum for both bids and asks.

## Position Section

In the position section, users can monitor their current positions, open orders, order history, trade history, transaction history, and assets. Users can also review their unrealized PnL (uPnL), estimated liquidation price, margin ratio, and other pertinent information related to their current positions. Additionally, users can close their position directly from this window using either a market or limit order.

## **Opening a Position**

On the Trade page, click "Long" or "Short" based on your preference for opening a leverage position. Long positions profit from price increases and incur losses with price decreases, while short positions work oppositely. Specify the amount and leverage, and note the "Exit Price" below the swap box, which calculates profits for immediate position closure.&#x20;

## **Closing a Position**

Partial or complete position closure is possible by clicking "Close" in the position row. Profits for long positions are paid in the token being longed, while short positions yield profits in the stablecoin used to open the position.

## **Stop-Loss / Take-Profit Orders**

Create trigger orders for stop-loss and take-profit by selecting the "Trigger" tab. Trigger orders appear in your position's row and can be edited or canceled manually.

## Market Order / Limit Order

Market order is executed at the best available price in the order book and prioritizes immediate execution over price, meaning the trade is filled as soon as there are matching orders in the order book. Limit orders allow users to set a specific price at which they are willing to buy or sell an asset. They are added to the order book and are only filled when the market reaches the specified price. Swap between Market/Limit orders easily on DeriW.<br>

## Leverage

On DeriW, you can leverage up to 100x on your trade both on limit and market orders.&#x20;

## **Liquidations**

Monitor your liquidation price, which changes over time. Deposit collateral to improve liquidation price and reduce the risk of liquidation. In case of liquidation, remaining collateral after losses and fees is returned.

## **Rebates**

Based on the choice of fees on the platform chain, rebates will be returned in the corresponding currency, with the same rebate ratio and fee rules.

## **Stablecoin Pricing**

During stablecoin depegging, short positions incur collateral costs based on a spread from 1 USD to the official price. Profits for short positions are paid out based on a price of 1 USD or the current official price, whichever is higher. Swaps using depegged stablecoins also have a spread.

Long positions remain unaffected, but a warning is displayed if a large spread exists when swapping from a depegged stablecoin to long collateral. Alternative swap platforms can be considered to execute the swap before opening a long position.


# DeriW Explorer Guide

Deriw Explorer is the official blockchain explorer for the Deriw Chain. It provides a range of features and benefits that are valuable for both developers and regular users interested in the Deriw blockchain. Here are some key benefits:

* **Transaction Tracking**: Deriw Explorer allows users to track transactions in real-time. You can verify the status, details, and confirmations of any transaction on the Derow network.
* **Smart Contract Verification**: Users can view and verify smart contract code, ensuring transparency and trust in the decentralized applications (dApps) they interact with.
* **Block Information**: Users can view details about specific blocks, including the block number, timestamp, miner, and transaction count.
* **Token Tracking**: Etherscan provides detailed information about supported tokens, including total supply, holders, and transfer history.

The Deriw Explorer can be visited on <https://explorer.test.deriw.com>. On the homepage, you will be shown a general analysis of all important data on the Deriw chain. Important information includes the number of daily transactions, wallet addresses connected on Deriw, and live block/transaction information.

## Verify your Transaction Data on Deriw Explorer

To verify whether your transactions were executed on Deriw, the Deriw Explorer offers a great way to confirm. Copy paste your wallet address that you use for trading in the search bar, and you will be shown all information about your transaction data.&#x20;

Tokens highlight the number of tokens you hold on the Deriw Chain. Transactions include all that have been executed on chain.

Just below shows a breakdown of all executed transactions. This is broken down into several sections:<br>

**Token Transfers**: This tab lists the transfer events of tokens (both ERC-20 and ERC-721) associated with the address. This includes details of tokens sent and received by the address.

**Tokens**: This tab shows the list of all tokens held by the address, including the balance of each token.

**Internal Transactions**: This tab displays internal transactions, which are transactions triggered by smart contracts rather than being directly initiated by users. They often involve transfers of value within a smart contract.

**Coin Balance History**: This tab provides a historical view of the coin balance of the address over time.

Each of these tabs provides a different aspect of the activity and assets associated with a specific connected address, giving a comprehensive view of its blockchain interactions.

For example, the most recent transaction relates to claiming testnet tokens. Upon clicking it, we can see a full analysis, including proof that $10,000 testnet tokens were claimed to this address. <br>

# Using DeriW on Mobile

DeriW is now supported on Mobile, allowing you to make trades and stay updated on your portfolio whilst on the go.&#x20;

To access DeriW and ensure a smooth trading experience, please ensure the following steps:<br>

1\)  A compatible internet explorer is installed; either the built-in browser on your mobile device or Google Chrome Browser.&#x20;

2\)  MetaMask APP has been installed on your Phone. Also ensure that you already have your account/address set up already. For more information on MetaMask, visit [here](https://metamask.io). \

**Step 1**

Visit [www.deriw.com](http://www.deriw.com) on your mobile browser or directly on the browser within the MetaMask APP and select login at the top right corner of the page.

Connect using WalletConnect, and select MetaMask. We are currently working on supporting more wallets. You will be redirected to the MetaMask APP to connect your account, and switch to the DeriW Chain.&#x20;

To Trade or Buy LP, make sure to click on the three striped icon at the top right to see a list of available services and activities.

For every transaction, you will be asked to confirm on your Web3 Wallet. Below is an example of a transaction confirmation on Metamask. If you arre not asked to confirm, please try again until the popup shows.&#x20;

# DER Token

$DER is the governance token of the DeriW platform. The four main uses of the $DER token are governance, fee discounts and pledges to verify the pledge function of the DeriW public chain.

* 5% token Chain node staking reward.&#x20;
* 5% of the tokens are allocated to the VC round (10% will be released at the opening, and the remaining will be locked for one year and released in the next 12 months).&#x20;
* 10% of the tokens are allocated to the founding team (locked for one year and released within 36 months).&#x20;
* 28% of tokens allocated for staking rewards (long-term release)&#x20;
* 27% of tokens allocated to the DAO committee governance.

## Staked DER Token Address <a href="#staked-gmx-token-address" id="staked-gmx-token-address"></a>

After staking DER you will receive a Staked DER token. Note that the balance for this token will return your total staked amount including any esDER tokens and Multiplier Points.

* Arbitrum:&#x20;

### Bridging <a href="#bridging" id="bridging"></a>

Bridging assets to Deriw involves a multi-step process across different layers of blockchain technology:

1. **From L1 to L2 (Ethereum to Arbitrum):** Users will first bridge their assets from Layer 1 (L1) Ethereum to Layer 2 (L2) Arbitrum. This step involves moving their assets from the Ethereum mainnet to the Arbitrum network, which is a Layer 2 scaling solution built on top of Ethereum.
2. **From L2 to L3 (Arbitrum to Deriw Chain):** After their assets have been bridged to Arbitrum, they will then proceed to bridge them from Layer 2 (L2) Arbitrum to Layer 3 (L3) Deriw Chain. This step involves transferring their assets from the Arbitrum network to the Deriw Chain, which is a separate blockchain network built on top of Arbitrum and Ethereum technology.&#x20;


# Rewards

## The economic model of staking platform token DER

DER Rewards offer long-term users benefits in the form of Escrowed DER and Multiplier Points. esDER is equivalent to DER, but it cannot be traded directly like DER. Instead, you need to stake esDER again and exchange it for DER within one year.

## **Escrowed DER**

For "esDer," it means staked Der. This "esDer" is equivalent to Der, but it cannot be traded directly like Der. Instead, it needs to be staked again as esDer and converted into Der within one year. Here's an example:

Suppose you initially staked 1000 Der and received 100 esDer. These 100 esDer can be staked in the esDer pool, where you can earn transaction fee rewards and reward multipliers. However, these esDer are non-transferable. To make them transferable/tradeable Der, you need to stake the esDer in the vesting pool. This way, the esDer will linearly convert into Der over 365 days, and the converted Der can be withdrawn at any time. However, it's important to note that if you withdraw the corresponding staked Der during the esDer vesting/staking period, both the esDer staking rewards and vesting will stop. Each withdrawal of staked Der will correspondingly stop the esDer rewards.

Escrowed DER (esDER) serves two purposes:

1. Staked for rewards similar to regular DER tokens.
2. Vested to become actual DER tokens over a year.

Staked DER receives three types of rewards:

1. esDer rewards: Pledgers will receive esDer, providing them with more incentives and rights to participate in governance on the platform.
2. Reward multiplier: Users who stake Der will enjoy a reward multiplier to maximize the benefits from their staking.
3. Handling fee dividend: The platform handling fee share (including Swap and leverage transaction fees) will be distributed to users who pledge Der in the form of Ethereum, providing them with additional economic returns.
4. By staking Der, users can not only reduce transaction fees, but after each transaction, part of the fees will be automatically returned to the user through the smart contract as part of the transaction reward.
5. Only node verifiers who have pledged enough DER on the platform are eligible to become challengers of the Deriw chain. This innovative design realizes the decentralized governance of the platform, where token holders participate and make decisions entirely. Such an architecture not only improves the security of the platform, but also enhances token holders’ sense of participation and control over the entire ecosystem.

## **Multiplier Points**

\
When you stake Der, you earn reward multipliers at a fixed rate (1:1 with tokens) every second. Staking 1000 Der for a year will yield 1000 reward multipliers. Each reward multiplier will earn ETH rewards equivalent to regular Der tokens. However, once you unstake Der, the corresponding portion of reward multipliers will be destroyed.

The percentage increase in fee rewards due to reward multipliers is calculated as: 100 \* (staked reward multipliers) / (staked Der + staked esDer). For example: Assuming your ETH fee yield is 10%, and you have staked a total of 10,000 Der and esDer with a reward multiplier of 20%, your expected yield wouldn't be $1000 but $1200, reflecting a 20% increase in yield.

Typically, other projects offering yields are often plagued by inflation: as the number of stakers increases, the rewards per individual decrease. Setting aside the alleviation of inflationary pressure through esDer and maintaining a first-mover advantage, Der provides reward multipliers to mitigate the dilution of early participants' interests.

**Managing Rewards:**&#x20;

Options on the Earn \<EARN>page include:

1. Stake Multiplier Points: Claim and stake Multiplier Point rewards.
2. Claim DER Rewards: Claim vested and converted DER tokens from esDER.
3. Stake DER Rewards: Stake claimed DER.
4. Claim esDER Rewards: Claim pending esDER rewards.
5. Stake esDER Rewards: Stake claimed esDER.

These actions can be performed via the "Compound" or "Claim" buttons on the Earn \<EARN> page.

## Add Funds to Use Super Stake USDT

To stake, you will need to top up your DeriW Account. This can be done by accessing the Trade page, then click on the 'Deposit' button. Use the Cross-Chain Bridge to transfer funds from Arbitrum to DeriW Chain. Please note that you will need to pay a ETH Gas Fee.

## Staking Returns

Staking Returns will be based on:

* Profit and loss of the capital pool + income from handling fee sharing &#x20;
* Fund pool profit and loss distribution: The distribution rules are based on the actual staked amount to distribute profits and losses.

## **Risks**

Prudence is advised when engaging with smart contracts or blockchain applications. Despite efforts to minimize risks through thorough testing, audits, and bug bounties, the potential for vulnerabilities in smart contract code always exists.

An indicative list of risks includes:

* Counterparty Risks: The Liquidity pool serves as the counterparty to traders, and any profits made by traders impact the value of the Liquidity pool.
* Token Risks: Bridged tokens are reliant on the security of the bridge, while pegged tokens carry the risk of depegging.


# Rules for Staking and Unstaking of Closed-End Fund

## Staking & Unstaking (USDT Pool Trading Module)

### Staking

At the initial stage, the amount of money to be raised and lock-up period will be determined. In order to stake, users will need to bridge tokens from Arbitrum to DeriW Chain using the Cross-Chain Bridge.

The average lock-up period is 3 days. The user can apply to withdraw fund capital. The closed-end fund will then lock in its application share, and released.

If the net value of the fund pool is less than the initial amount, users can subscribe.&#x20;

### Unstaking

Upon successful subscription, the funds will be locked for 3 days and can be unstaked and redeemed at any time thereafter. At the end of the lock-up period, profits from the fund pool gains and transaction fees will be shared. The exact profit distribution will vary on the actual proportion of amount staked by the user.

Once you have added funds to your DeriW account via the Cross-Chain Bridge, you can input the amount you wish to stake and click **\[Confirm]**. You will start to earn staking rewards after staking. # Guide to Buying LP on Mainnet

**Step 1:** Visit the DeriW  Website and sign in with your preferred Web3 Wallet. Visit [Connect to Deriw Mainnet](/deriw-mainnet/connect-to-deriw-mainnet) to successfully connect your wallet first. Click **'Earn'** from the top bar.

**Step 2:** It is now important that you have successfully added funds to your Deriw account by using our Cross-Chain Bridge from Arbitrum to Deriw Chain. This can be done by accessing the Trade page, then click on the 'Deposit' button. Please note that you will need to pay a ETH Gas Fee.

**Step 3**: Here you will see all data of LP pools. On the main page, browse between pools that are fundraising, operating and completed. For every pool, you will be shown the total supply, start/end time and the percentage of fundraising that has been completed. Based on an available pool, click 'Buy'.&#x20;

**Step 4:**  Select the amount you want to add to the liquidity pool based on your balance. You also choose to auto-add if required. Once done, click 'Confirm', approve on your wallet and the transaction will be approved.&#x20;

**Step 5**: On the Main Earn page, you will see a section titled 'My Positions'. This shows all the LP positions you have opened, and the earnings on each position. You can filter the periods to find previous position data. For current fundraising pools that are still open, you can choose to withdraw from fundraising, or opt in to auto-buy.&#x20;

To start trading, you need to bridge funds from Arbitrum to DeriW Chain:

2. Select USDT from your Arbitrum wallet
3. Enter the amount to bridge (minimum: $10)
4. Confirm the transaction and pay ETH gas fees
5. Wait for blockchain confirmation

**Important Notes:**

* You need ETH on Arbitrum to pay gas fees for bridging
* Minimum deposit: $10
* Funds will appear in your DeriW account balance after confirmation

To withdraw funds, click the "Withdraw" button and follow similar steps.

DeriW executes trades directly against its unified liquidity pools and references a reliable oracle index price, eliminating the need for an order book or external market makers. Individual order execution prices, which may include price impact for large orders, are calculated separately and are not reflected in the chart.

### Oracle Index Price Mechanism

DeriW uses a weighted average price from multiple exchanges as its oracle index price source. The current oracle price is composed of real-time market prices from [various major exchanges](https://docs.deriw.com/trading/pricing-mechanism).

The system performs weighted calculations based on each exchange's market depth and trading volume. Abnormal price fluctuations are automatically filtered out. A composite price is generated that is more stable, fair, and manipulation-resistant.

This effectively reduces the impact of single market volatility on contract prices, prevents price manipulation from any single exchange, ensures users receive a more transparent and reliable trading experience on DeriW, and Provides fair liquidation prices based on true market consensus.

### Position Section

In the position section, users can monitor their current positions, open orders, and order history.&#x20;

In "Positions", users can review their trade size, average price, mark price, estimated liquidation price, PnL, and other pertinent information related to their current positions. Additionally, user can also set a “Trigger” to automate order closures or “Close” them manually.

In  “Orders” users can check unexecuted orders; In “History”, users can check closed ones.

## **Opening a Position**

On the Trade page, click "Long" or "Short" based on your preference for opening a leverage position.&#x20;

And specify:

* Position size (in USDT)
* Leverage (2x - 100x)
* Order type (Market or Limit)

After confirming the transaction, your order will immediately appear in the Position section.&#x20;

**Please note:**

* For first time users, “Approve USDT” in the wallet before trading.&#x20;
* If the order sizeexceeds the available liquidity, you will not be able to open an order.

### Selecting Long or Short

* **Long Position:** Profits when price increases, loses when price decreases
* **Short Position:** Profits when price decreases, loses when price increases

### Selecting a Market

Choose the asset you want to trade (e.g., BTC/USDT, ETH/USDT, SOL/USDT)

### Leverage

DeriW supports up to **100x leverage** on both market and limit orders.

**Risk Warning:** Higher leverage amplifies both gains and losses. Use appropriate risk management and monitor your positions actively.

## Managing Positions

After opening a trade, you would be able to review it under your positions section review including trade size, average price, mark price, estimated liquidation price, PnL, margin and other pertinent information related to their current positions.

You can also click on "+" button to deposit or withdraw USDT to change its margin.

### **Average Price**&#x20;

The **average price** is the weighted average price at which your position was opened.

If you open a position in a single order, the average price equals your execution price. If you increase your position multiple times, the average price is recalculated based on all entries

**Example:**

> First entry: Buy 100 USDT worth of ETH at $2,000 = 0.05 ETH
>
> Second entry: Buy 100 USDT worth of ETH at $2,100 = 0.0476 ETH
>
> Average price = (100 + 100) ÷ (0.05 + 0.0476) = $2,049.18

**What it's used for:**

* Calculating your total position cost basis
* Determining your overall profit/loss percentage
* Displayed in your position row for reference

### **Mark Price**&#x20;

The **mark price** is the current oracle index price aggregated from multiple exchanges. For more details on this price mechanism, see [Oracle Index Price Mechanism](#oracle-index-price-mechanism).

**What it's used for:**

* Calculating your **unrealized PnL** (profit and loss)
* Determining if your position reaches the **liquidation price**
* Triggering **TP/SL orders**
* Displaying on the K-line chart

**Important Notes:**

* Mark price updates in real-time based on market movements
* Your liquidation is based on mark price, not execution price
* Mark price is independent of your average entry price

### Price Difference and PnL

Your **unrealized profit/loss** is calculated as:

```
PnL = (Mark Price - Average Price) × Position Size ÷ Average Price
```

**For Long Positions:**

* If Mark Price > Average Price → You're in profit
* If Mark Price < Average Price → You're in loss

**For Short Positions:**

* If Mark Price < Average Price → You're in profit
* If Mark Price > Average Price → You're in loss

## **Closing a Position**

Partial or complete position closure is possible by clicking "Close" in the position row. An automatic position closure is also possible by clicking "SL/TP".

## Order Types

### Market Orders

Market orders execute immediately at the current oracle price. There is limited price impact for opening positions according to the slippage setting. But large positions may incur slippage when opening to protect pool stability.

### Limit Orders

Limit orders allow you to set a specific price for entry. Limit orders attempt to execute when the oracle price reaches your limit price. Using the DeriW AMM Model, limit orders differ from those on orderbook exchanges. Since there is no orderbook for orders to "rest" on, a limit order executes by attempting to match the closest oracle price once its limit price is triggered. This mechanism means the execution will generally differ from your set limit price.

These orders appear in your position row and under the "Orders" tab. You can edit or cancel them at any time.

Limit orders are not always executed successfully. This usually happens in three main scenarios:

1. The price target wasn't quite met: The market price (or "mark price," which is the average across exchanges) never actually reached the specific price you set.
2. Not enough buyers or sellers: The mark price was met, but there wasn't enough trading volume (liquidity) available at that exact moment to fill your order.
3. Leverage limits exceeded: Executing the order would push your current leverage above the maximum allowed limit for that trade or position.

### **Stop-Loss / Take-Profit Orders**

Create trigger orders for stop-loss and take-profit by selecting the "Close" tab in the position row. Set your Stop Loss and/or Take Profit trigger prices and amounts.&#x20;

These orders appear in your position row and under the "Orders" tab. You can edit or cancel them at any time.

**Note:** TP/SL orders are not guaranteed to execute if:

* The mark price did not reach the specified trigger price
* There is insufficient liquidity at trigger time

## Liquidations

The liquidation price is defined as the price at which the token price exceeds or falls below the average price by a certain range—that is, when the loss plus transaction fees equals a certain percentage of the margin.&#x20;

It is calculated as follows:&#x20;

```
(Collateral - Losses - Total Fees) < Threshold % of Position Size
```

The liquidation threshold percentage ranges from **0.5% to 1.5%** of your position size, depending on market conditions and pool settings. If the token price falls below this point, the position will be automatically liquidated.

Total Fees include opening/closing fees, and funding rates. Leverage is the leverage multiplier chosen by the user.

### Liquidation Price

Your liquidation price is displayed in the position section and indicates the price level at which your position will be automatically closed.&#x20;

Your liquidation price is **not static**. It changes over time due to accruing funding rates, or changes in your collateral value.&#x20;

For positions with high leverage held for more than a few days, actively monitor your liquidation price. When the position is liquidated, the actual execution price may fluctuate relative to the displayed forced liquidation price, and may not be directly reflected on the K-line chart.&#x20;

It is important to understand that your liquidation price is not fixed, especially when you use leverage over 10 times and hold the position for many days, requiring close attention/monitoring.&#x20;

In order to lower the liquidation risk, you can deposit additional USDT collateral through the "Margin" button in the position row, which can effectively raise (lower) the liquidation price.&#x20;

Finally, if your position is liquidated, after considering losses, liquidation fees, and other payable fees, the remaining collateral will be automatically returned to your wallet.

## Slippage

DeriW utilizes the Pendulum AMM (Automated Market Maker) mechanism, meaning you trade directly with the liquidity pool instead of with other traders. Slippage refers to the difference between the expected execution price when you submit an order and the actual price at which the order is filled, which is caused by price volatility during the period the order is pending.

The slippage setting is applied at the time the position is opened. Fluctuations occur both upon opening the position and after the on-chain execution.

The default slippage is 0.1%, which can be adjusted in the settings or in the trading box when placing a trade.

### Liquidity Pool Slippage Mechanism

When the market becomes heavily one-sided and exceeds the liquidity pool's capacity, the system automatically applies a slight slippage to newly opened positions in that direction to protect overall fair trading

Slippage is triggered when net exposure (difference between longs and shorts) becomes heavily one-sided and this exposure exceeds **70% of the liquidity pool capacity**

**Example Scenario:**

```
Current Positions:
- Total Long Positions: 1,000 USDT
- Total Short Positions: 700 USDT
- Net Long Difference: 300 USDT

Liquidity Pool: 280 USDT

Result:
- Net exposure (300 USDT) > 70% of pool (196 USDT)
- Opening new long positions WILL trigger slippage
- Opening short positions will NOT be affected
```

### **Slippage Calculation**

The platform uses a dynamic calculation model. The slippage percentage depends on your position size, current net exposure in that direction, available liquidity pool balance, and total market position size in that direction.

For Long Positions:

```
Long Slippage = (User Long Size + (Net Long - 70% of Pool)) ÷ Total Longs × 2%
```

For Short Positions:

```
Short Slippage = (User Short Size + (Net Short - 70% of Pool)) ÷ Total Shorts × 2%
```

## Fees and Rebates <a href="#fees-and-rebates" id="fees-and-rebates"></a>

### Trading Fees

DeriW offers industry-leading low fees:

> Opening Fee = Position Size × Leverage × 0.02%> \
> Closing Fee = Position Size × Leverage × 0.02%

Fees are charged once on open and once on close.

**Example:**

> Position size: 10,000 USDT
>
> Opening fee: 10,000 × 0.02% = 2 USDT
>
> Closing fee: 10,000 × 0.02% = 2 USDT
>
> Total fees: 4 USDT

#### VIP Fee Rebates (OG Program)

Users holding DER points receive real-time fee rebates:

## **Stablecoin Pricing**

During stablecoin depegging, short positions incur collateral costs based on a spread from 1 USD to the official price. Profits for short positions are paid out based on a price of 1 USD or the current official price, whichever is higher. Swaps using depegged stablecoins also have a spread.

Long positions remain unaffected, but a warning is displayed if a large spread exists when swapping from a depegged stablecoin to long collateral. Alternative swap platforms can be considered to execute the swap before opening a long position.

## Risk Management Advisory: Choosing Your Leverage

To better protect the security of your assets, we recommend choosing a reasonable leverage multiplier when trading.

Although high leverage magnifies profits, it equally magnifies risks, which can easily lead to unnecessary losses during periods of rapid market fluctuation.

Please operate according to your own risk tolerance, reasonably control your position size, and trade steadily.


# Pricing Mechanism

## DeriW Pricing Mechanism Explained

This document explains how DeriW sources its prices, and how chart prices relate to the prices you actually receive when opening, closing, or triggering an order.

### 1. Price Sources

DeriW's bid and ask prices are not drawn from a single exchange. They are aggregated in real time from multiple major markets:

* Binance
* Bybit
* OKX
* Gate
* Hyperliquid
* iTick (used to supplement pricing for certain stock/FX-linked assets)

The system continuously pulls quotes from the sources above and takes the **best bid** (the highest bid across all sources) as DeriW's bid, and the **best ask** (the lowest ask across all sources) as DeriW's ask. Aggregating multiple sources this way reduces the impact of a single data source experiencing an outage or a brief abnormal quote.

### 2. Two Prices: Mark Price vs. Execution Price

DeriW uses two distinct prices for two different purposes. Understanding the difference is key to understanding your order results:

**Mark Price** is the midpoint of the bid and ask, and is what drives the price you see on the chart as well as funding rate settlement. Because the bid/ask feeding into this calculation includes a very small platform-configured spread, you may notice minor differences in chart movement compared to other platforms — this is expected and does not indicate a data issue. Mark Price itself is never used to fill an actual order.&#x20;

**Execution Price** is the price you actually receive when opening or closing a position, and can differ from Mark Price depending on direction, as explained below.

### 3. Execution Pricing Rules for Opening and Closing

DeriW prices opens and closes the way a real market operates:

This mirrors how any real market works: **you buy at the seller's price and sell at the buyer's price.** As a result, there is a natural spread between your entry and exit prices. This spread is a normal cost of trading — it is not a system error or an attempt by the platform to inflate prices.

The size of the spread moves with market liquidity — it can widen during sharp volatility or thin liquidity, just as it would on a real exchange.

### 4. Limit Orders / Stop Loss & Take Profit

**The trigger price you set and the price your order actually fills at can differ.** This is a normal characteristic of any price-driven order system (as opposed to a manually queued order book):

* When the market reaches your trigger price, the system generates your fill price based on the market bid/ask at that moment
* In fast-moving markets, your fill price may deviate somewhat from your trigger price
* You can set a **maximum acceptable slippage** when placing an order. If the resulting execution price falls outside that range, the order will not be filled — this protects you from filling at a price far worse than expected during extreme market moves

### 5. Protections During Extreme Market Conditions

In rare situations — for example, a brief disruption at one of our data sources — the system may detect quotes that appear temporarily invalid. DeriW's price aggregation system is designed to automatically detect and filter these:

* Brief data anomalies are filtered out automatically and do not affect your normal trading experience
* If an anomaly persists, trading on the affected asset will be paused until pricing returns to normal, to protect user funds

We recommend checking platform announcements before trading for any notices about market anomalies that may affect a specific asset.

# Funding Fee

### Overview

Funding is a periodic fee designed to keep open interest balanced between long and short positions. Unlike a trading fee, funding is not a cost of using the platform — it only activates when the market is skewed toward one side, and it scales with how skewed that market is.Positions on the side of the imbalance pay funding into the protocol's liquidity pool. There is no direct long-vs-short transfer: if longs are the crowded side, longs pay; if shorts are the crowded side, shorts pay. The opposite side pays nothing for that period.

### Formula

```
Funding Payment = Position Notional × FundingMax × R²
```

**Position Notional** — the USD value of your position, calculated as position size × oracle price at the moment of settlement.**FundingMax** — the maximum funding rate for the market, reached only when open interest is entirely one-sided. This value is configurable per market and calibrated so that even in a worst-case, fully one-sided scenario sustained over a set period, the accumulated cost stays within a defined cap.**R** — the open interest imbalance ratio:

```
R = |Long OI − Short OI| / (Long OI + Short OI)
```

R always falls between 0 and 1:

* **R = 0** when long and short open interest are exactly balanced → funding rate is 0, nobody pays.
* **R = 1** when open interest is entirely one-sided (all longs or all shorts) → funding rate equals FundingMax, the maximum possible rate.

Because the imbalance ratio is squared, funding responds gently to small, everyday fluctuations in positioning and rises sharply only as the market approaches a genuine extreme. A mild imbalance produces a small fraction of the maximum rate; a severe, sustained imbalance is what drives the rate toward its cap.

### How it's charged

Funding is settled periodically. The settlement interval is currently **every 8 hours**, though this interval may be adjusted over time as market conditions evolve — check the trading panel for the current cycle length and countdown to the next settlement. At each settlement:

1. The protocol reads the open interest imbalance (R) and the resulting rate at that exact moment.
2. Each open position on the crowded side is charged: its notional value at that moment, multiplied by the rate.
3. The charge is deducted directly from the position; there is no fee collected by the protocol itself — it flows into the pool that backs the other side of the market.

If a settlement fails to process for any reason, it is caught up automatically at the next settlement cycle.

### What happens when you resize a position

Funding is only ever calculated using your position size **at the exact moment of settlement** — it does not look back at what your size was earlier in the period.

* **No change:** your position is simply charged based on its unchanged size.
* **You increase your position before the next settlement:** the next charge uses your new, larger size.
* **You decrease your position before the next settlement:** the next charge uses your new, smaller size.
* **You close your position before the next settlement:** no new funding is charged for that period, since there's no open position left when settlement occurs. Funding already charged in prior periods is not refunded.
* **You open a new position shortly before a settlement:** it will be included in that settlement using its size at that moment, even if it was only open briefly.

Your cumulative funding is simply the sum of every individual settlement charge since you opened the position:

Cumulative Funding = Σ (position notional at settlement × rate at settlement)
```

Each settlement is calculated independently based on the state . At that instant — there's no averaging or proportional splitting across a period in which your size changed.

#### Example

The mechanics below apply regardless of the current settlement interval — this example uses a 4-hour cycle purely for illustration. A trader's position changes as follows:

## Funding Rate

The funding rate is used to balance the long and short positions on the platform, protecting ALPs from excessive risk exposure during trading and minimizing the holding risk of the pool.&#x20;

* If both sides show positive PnL, both long & short pay funding.
* Funding Fee = Position Size × Funding Rate

If both sides are positive, both long and short positions will be charged the funding rate. The funding fee that users need to pay = the position amount held \* funding rate This fee is charged every 60 minutes.

## Liquidation

The liquidation price is defined as the price at which the token price exceeds or falls below the average price by a certain range—that is, when the loss plus transaction fees equals a certain percentage of the margin. It is calculated as follows: when (collateral - loss - Toatl fees) falls below a certain percentage of the position size, the price is set as the liquidation price. This percentage ranges from 0.5% to 1.5%, depending on market conditions and pool settings. If the token price falls below this point, the position will be automatically liquidated.

Leverage is the leverage multiplier chosen by the user.

## Slippage (PendulumAMM Mechanism)

Only applied when **net long or short imbalance exceeds 70% of the liquidity pool capacity**.

**Formulas:**

Long Slippage = (User Long + (Net Long−Short − 70% of pool)) ÷ Total Long × 0.02\
Short Slippage = (User Short + (Net Short−Long − 70% of pool)) ÷ Total Short × 0.02

Net position difference between long and short positions = Total amount of long positions - Total amount of short positions or Net position difference between long and short positions = Total amount of short positions - Total amount of long positions

Opening slippage is only charged when the "net position difference between long and short positions" is greater than 0.

### **Liquidity Pool Slippage Mechanism**

When the market becomes heavily one-sided beyond the liquidity pool’s capacity, the system will automatically apply slight slippage to newly opened positions in that direction in order to protect overall fair trading. This mechanism only triggers when necessary for risk control.

Slippage is triggered when the market shows extreme one-sided positioning and the exposure exceeds what the liquidity pool can support. In this case, newly opened orders in that direction will incur slippage.

Current positions:

* **Total Long Positions:** 1000 USDT
* **Total Short Positions:** 700 USDT

Therefore:

**Net Long Difference = 1000 – 700 = 300 USDT**

If the current liquidity pool amount is **280 USDT**, the pool is no longer sufficient to cover the 300 USDT long exposure:

## Completion Criteria

There is a progress bar at the top of the challenge interface. The bar advances each time you complete a trade that satisfies the challenge rules.To successfully complete a challenge, you must meet all of the following conditions: reach the profit target, stay within the drawdown limit, complete the minimum number of valid trades, comply with the single-trade profit cap, close all positions, and follow the 60-second holding rule.

### Condition 1: Reach Profit Target

Your account equity must reach or exceed the target amount.**Example**:

* Starting capital: $10,000
* Target equity: $10,500 (+5%)
* Required: Account equity ≥ $10,500

A trade is considered valid only if it is held for 60 seconds or longer. This rule prevents high-frequency manipulation and ensures challenges test genuine trading skill.Positions that have not yet reached 60 seconds will be highlighted. When you try to close a position before 60 seconds, a confirmation prompt will appear to remind you that the trade may be treated as an invalid trade.\
For trades held **less than 60 seconds**, P/L is handled as follows:

# Recovering your Deriw Wallet

If you are unable to access your DeriW account due to a forgotten password, you can regain access by utilizing your account recovery phrase (mnemonic) and integrating it with a third-party wallet. Below is a step-by-step guide to assist you in resolving this issue:

#### **Step 1: Import the Recovery Phrase (Mnemonic) into a Third-Party Wallet**

To begin the recovery process, you will need to import your account recovery phrase into a trusted third-party wallet:

1. Open a third-party wallet application.
2. Navigate to the **Import Wallet** section.
3. Enter the **mnemonic phrase** associated with your DeriW account.
4. Confirm the import to successfully restore your wallet.

*Please ensure that the mnemonic phrase is entered accurately. Any discrepancies may prevent successful recovery.*

#### **Step 2: Extract the Private Key from the Third-Party Wallet**

After importing your account to the third-party wallet, you can extract the private key as follows:

1. Access the settings or tools menu in the third-party wallet.
2. Select the option to **Export Private Key** for the wallet account that was just imported.
3. Securely save the private key, as it will be required for the subsequent steps.

*It is critical to store your private key securely and refrain from sharing it with anyone to protect your account.*

#### **Step 3: Import the Private Key into MetaMask**

Once you have obtained the private key, you can proceed to integrate your wallet into MetaMask for enhanced accessibility:

1. Open the MetaMask application on your desktop or mobile device.
2. Click on your profile icon and select **Import Account** from the menu.
3. Choose the **Private Key** option and paste the private key retrieved from the third-party wallet.
4. Complete the process to successfully add your account to MetaMask.

# Terms & Conditions

These Terms and Conditions (the **“Terms”**) constitute a binding agreement between you (**“you”**, **“your”**, or the **“User”**) and **DeriW Foundation Ltd**, a company incorporated under the laws of Cayman Islands with its registered office at Citrus Grove, Ground Floor 106 Goring Avenue, Suite #647, 10 Market Street Camana Bay George Town, Grand Cayman, KY1-9006, Cayman Islands (“DeriW”, “we”, “us” or “our”), governing your access to and use of the Interface and any related services offered by DeriW (collectively, the “Services”).

**PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT PROVISIONS, INCLUDING A BINDING ARBITRATION CLAUSE AND CLASS-ACTION WAIVER (SECTION 18), WHICH AFFECT YOUR LEGAL RIGHTS. BY ACCESSING OR USING THE INTERFACE OR SERVICES, OR BY CLICKING TO ACCEPT THESE TERMS WHERE THAT OPTION IS MADE AVAILABLE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE INTERFACE OR THE SERVICES.**

## 1. Definitions

In these Terms, capitalised terms have the meanings set out below.

**"Affiliate"** means any entity that directly or indirectly controls, is controlled by, or is under common control with a person, where “control” means the ownership of more than fifty percent (50%) of the voting securities or equivalent ownership interest.

**"Applicable Law"** means all laws, regulations, rules, orders, judgments, decrees, statutes, ordinances and other binding requirements of any governmental, regulatory, judicial or self-regulatory authority that apply to you, to us, to the Interface or to any of the Services, including without limitation sanctions and export-control laws, anti-money-laundering and counter-terrorism-financing laws, securities, derivatives and commodities laws, consumer-protection laws and data-protection laws.

**"Digital Asset"** means a cryptographically secured digital representation of value or rights that may be transferred, stored or traded electronically using distributed ledger technology, including without limitation cryptocurrencies, stablecoins, governance tokens, utility tokens and tokenised representations of other assets.

**"Interface"** means the websites, web applications, mobile applications, application programming interfaces, user interfaces, software and any other technology made available by DeriW at <https://www.deriw.com> and any related subdomains, and any successor sites or applications.

**"Protocol"** means the smart contracts, decentralised applications and underlying blockchain infrastructure that constitute the DeriW decentralised trading protocol, accessible through the Interface and otherwise.

**“Restricted Jurisdiction”** means any country, state, territory or region listed in Schedule A to these Terms, and any other jurisdiction in respect of which DeriW determines (in its sole discretion) that the provision of the Services or access to the Interface is restricted, prohibited or otherwise inadvisable, including by reason of sanctions, export-controls, securities, derivatives, gaming or other regulatory considerations, or by reason of internal risk controls or product, exchange or app-store policies.

**“Restricted Person”** means any person who is located in, resident in, a citizen or national of, incorporated or registered in, has a registered office or principal place of business in, or otherwise has a material nexus to a Restricted Jurisdiction; any person identified on any sanctions list maintained by the United Nations, the United States Office of Foreign Assets Control (OFAC), the United Kingdom HM Treasury, the European Union or any other sanctions authority; any person owned (50% or more, in the aggregate, directly or indirectly) or controlled by any such sanctioned person; and any person otherwise prohibited from accessing the Interface or Services under Applicable Law.

**"Schedule"** means the schedules attached to and forming part of these Terms, which may be amended by us from time to time in accordance with Section 16.

**"Services"** means as defined in the preamble, comprising the access provided through the Interface to the Protocol and any related products, features, tools, content or functionality made available by DeriW from time to time.

**"User Content"** means any data, text, communications, materials or other content that you submit, post, transmit or otherwise make available through the Interface.

**"Wallet"** means a self-custodied digital wallet, smart-contract account or other key-management solution controlled by you and used to interact with the Protocol via the Interface.

## 2. Acceptance and Eligibility

### 2.1 Acceptance

By accessing or using the Interface or the Services, you represent and warrant that you have read, understood and agree to be bound by these Terms and all documents incorporated by reference, including our Privacy Policy and any Schedules. If you are accepting these Terms on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” will refer to that entity.

### 2.2 Eligibility

To access or use the Interface or the Services, you must:

* be at least eighteen (18) years of age, or, if higher, the age of legal majority in your jurisdiction of residence;
* have the legal capacity to enter into a binding agreement under Applicable Law;
* not be a Restricted Person; and
* comply with these Terms, all Applicable Law and any policies, rules and procedures that DeriW may publish from time to time.

### 2.3 Restricted Persons and Restricted Jurisdictions

DeriW’s Services are not available to Restricted Persons. A Restricted Person includes any person who is located in, resident in, a citizen or national of, incorporated or registered in, has a registered office or principal place of business in, or otherwise has a material nexus to a Restricted Jurisdiction. DeriW may restrict access, reject orders, place accounts into close-only or withdrawal-only mode, suspend rewards, or terminate product access where required by Applicable Law, sanctions, product rules, exchange rules, app-store policies, or internal risk controls. You must not use VPNs, proxies, nominee arrangements or false information to circumvent geographic restrictions.

### 2.4 Tiered Restrictions

Without limiting Section 2.3, DeriW may apply different levels of restriction to different Restricted Jurisdictions, including without limitation (a) full prohibition of access, (b) close-only mode in which existing positions may be closed but new positions may not be opened and deposits may be refused, and (c) product-level restrictions under which certain product categories (including, where applicable, Equity, FX and Commodity Perpetual Contracts) are blocked while other categories remain accessible. The current tiered classification is set out in Schedule A and may be amended by us at any time without prior notice.

### 2.5 No Circumvention

You must not, and must not attempt to, circumvent any access restriction, geographic restriction, eligibility requirement or other control implemented by DeriW, including by use of a virtual private network, proxy server, anonymising tool, false declaration of residence, nationality or place of business, nominee, agent or any other artifice. Any such attempt is a material breach of these Terms and may result in immediate termination of your access, freezing of any associated positions in close-only mode, and reporting to relevant authorities where required.

## 3. The Interface and the Protocol

### 3.1 Nature of the Interface

The Interface is a front-end portal that allows you to interact with the Protocol. The Interface itself does not custody Digital Assets, does not match orders and does not settle trades; settlement and execution occur on-chain, on the underlying Protocol and the relevant blockchain networks. We are not a counterparty to any transaction that you enter into through the Protocol, do not act as an exchange, broker, dealer, custodian, market-maker, clearing house or fiduciary, and do not provide any custody, asset-management or fiduciary services.

### 3.2 Self-Custody

All Digital Assets used to interact with the Protocol remain under your sole custody and control through your Wallet. You are solely responsible for the security and operation of your Wallet, the safekeeping of any private keys, seed phrases, signing devices or authentication credentials, and all activity that occurs through your Wallet. We do not have access to your Wallet, your private keys or your Digital Assets, and we cannot recover lost keys, reverse transactions or recover Digital Assets lost as a result of your action or inaction or that of any third party.

### 3.3 Third-Party Wallets and Infrastructure

Use of the Interface requires the use of third-party Wallets, blockchain networks, validators, oracles, bridges and other third-party infrastructure. Your relationship with any third-party provider is governed by the terms and policies of that third party. We make no representation or warranty in respect of any third-party Wallet, network or service, and we accept no responsibility or liability arising from any third-party Wallet, network or service.

### 3.4 No Investment Advice

Nothing made available through the Interface or the Services constitutes investment, financial, legal, tax, accounting or other professional advice, and nothing is intended as, or should be construed as, a recommendation, solicitation or offer to buy or sell any Digital Asset or to enter into any transaction. You are solely responsible for determining whether any transaction is appropriate for you in light of your personal financial situation and objectives. You should consult qualified professional advisors before making any decision.

## 4. Access, Registration and Account Security

### 4.1 No Custodial Account

The Interface does not require you to open a custodial account with DeriW. Where the Interface presents features that require identification of your Wallet (or, where applicable, off-chain identifiers), you are responsible for ensuring that the information you provide is accurate, current and complete and for keeping it up to date.

### 4.2 Verification

We may, at our discretion or where required by Applicable Law, require you to provide identifying information, documentation or other verification at any time, including for the purpose of sanctions screening, anti-money-laundering compliance, jurisdictional verification or product eligibility. You agree to provide such information promptly and to confirm at our request that the information you have provided remains accurate. We may suspend or restrict your access to all or part of the Interface or the Services until such verification is complete.

### 4.3 Authorised Activity

You are responsible for all activity that occurs under or through your Wallet, whether or not authorised by you. You must promptly notify us of any unauthorised access to your Wallet that involves or affects the Services.

## 5. Acceptable Use

You must not, and must not permit any third party to, do any of the following:

* use the Interface or the Services in any manner that violates Applicable Law, including sanctions, export-control, anti-money-laundering, counter-terrorism-financing, market-abuse, securities, derivatives, gaming or consumer-protection laws;
* use the Interface or the Services if you are a Restricted Person, or to provide access to the Interface or the Services to any Restricted Person;
* use any virtual private network, proxy, anonymiser, false statement or other technique to conceal or misrepresent your location, residence, citizenship or nationality, or to evade any restriction set out in these Terms;
* engage in or facilitate market manipulation, including without limitation wash trading, spoofing, layering, front-running, ramping, pumping, dumping, cornering, squeezing or any other manipulative or deceptive practice;
* use the Interface or the Services to engage in money laundering, terrorist financing, proliferation financing, fraud, tax evasion, sanctions evasion or any other unlawful financial activity;
* interfere with, disrupt or attempt to gain unauthorised access to any aspect of the Interface, the Protocol or any related infrastructure, including by introducing viruses, worms, malicious code or other harmful material;
* reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying ideas, algorithms, structure or organisation of the Interface or any of its components, except to the extent such restriction is expressly prohibited by Applicable Law;
* scrape, harvest, index, mirror or frame the Interface or any portion of it, or use any robot, spider or other automated means to access the Interface for any purpose, except as expressly permitted by us in writing;
* use the Interface or the Services in any manner that could damage, disable, overburden or impair them or interfere with another User’s use; or
* engage in any conduct that, in our reasonable opinion, exposes DeriW, any of its Affiliates, any of its Users or any third party to legal, regulatory, reputational, operational, security or financial risk.

## 6. Trading - Crypto Perpetual Contracts

### 6.1 General

The Protocol enables Users to enter into perpetual contracts referencing crypto Digital Assets and other underlyings (“Perpetual Contracts”). Perpetual Contracts are derivatives instruments that do not have a fixed expiry date and use a periodic funding-rate mechanism to align the contract price with the price of the underlying. Trading Perpetual Contracts involves substantial risk, including the risk of total loss of margin and exposure to leverage.

### 6.2 Margin, Leverage and Liquidation

Perpetual Contracts are traded on a margin basis. You are responsible for maintaining sufficient margin at all times. If your margin falls below the maintenance level required by the Protocol, your position may be partially or fully liquidated automatically and without notice. You acknowledge that liquidation may occur at a price materially worse than the last quoted price, that funding payments may be substantial, and that, in volatile market conditions, slippage, partial fills, oracle disputes, network congestion or other events may result in outcomes that differ from those displayed in the Interface.

### 6.3 Oracles, Indices and Funding

The price of each Perpetual Contract is determined by reference to one or more price oracles and indices. Oracle providers, index providers and data sources may fail, be manipulated or produce inaccurate values. Funding rates may change rapidly. DeriW does not guarantee the accuracy, availability or continuity of any oracle, index or data source, and is not liable for any loss arising from oracle or data-source failure, manipulation or inaccuracy.

### 6.4 Market Risk and Volatility

Crypto markets are highly volatile and operate 24 hours a day, seven days a week. Prices can move sharply and unpredictably, including outside normal market hours, in response to economic news, security incidents, governance decisions, regulatory developments and other events. You may lose more than your initial margin. You should not trade Perpetual Contracts with funds that you cannot afford to lose.

## 7. TradFi Perpetual Contracts

### 7.1 Scope

In addition to crypto Perpetual Contracts under Section 6, the Protocol may make available Perpetual Contracts referencing tokenised equities, equity indices, foreign-exchange pairs, commodities and other traditional financial underlyings (“TradFi Perpetual Contracts”). For the avoidance of doubt, TradFi Perpetual Contracts include without limitation the following categories of product: (a) Equity-Linked Perpetual Contracts; (b) FX-Linked Perpetual Contracts; and (c) Commodity-Linked Perpetual Contracts. TradFi Perpetual Contracts are not securities and do not confer any ownership interest, shareholder right, dividend entitlement, voting right or other right against the issuer of any referenced underlying. For the avoidance of doubt, all such products are synthetic contracts referencing external markets and do not confer ownership rights in any underlying securities, currencies, commodities or other assets.

### 7.2 Tracking and Reference Prices

TradFi Perpetual Contracts are derivative instruments designed to track the price of the underlying. Tracking is achieved through funding payments and is not exact. Reference prices may be sourced from third-party data providers, exchanges, indices or other sources, each of which may fail, be subject to delays, errors, halts or manipulation. You acknowledge that TradFi Perpetual Contract prices may deviate from underlying prices, including during periods when the underlying market is closed or illiquid, and that DeriW, its Affiliates and any third-party data providers are not liable for any such deviation.

### 7.3 Regulatory Status

TradFi Perpetual Contracts may be characterised as derivatives, contracts for difference, securities-based derivatives, swaps, futures or other regulated instruments under the laws of certain jurisdictions. The provision of, or access to, such instruments may require licences, registrations or exemptions that DeriW does not hold. Accordingly, TradFi Perpetual Contracts are not available to Restricted Persons or to any person located in or with a material nexus to any jurisdiction listed in Schedule A as restricted for TradFi Perpetual Contracts, even where access to crypto Perpetual Contracts and other Services remains available. You represent and warrant on each occasion you access or use TradFi Perpetual Contracts that you are not a person to whom access to such instruments is restricted.

### 7.4 No Securities-Related Services

DeriW does not act as a securities broker-dealer, investment adviser, futures commission merchant, swap dealer, exchange, alternative trading system, organised trading facility, multilateral trading facility or in any other regulated capacity with respect to securities, derivatives or commodities, and nothing in the Services constitutes the provision of securities, investment, derivatives or commodities services. You acknowledge that the holding or trading of TradFi Perpetual Contracts may have tax, regulatory and other consequences for you, that those consequences are your sole responsibility, and that we make no representation as to the regulatory or tax treatment of any such instrument in any jurisdiction.

### 7.5 Corporate Actions and Adjustments

Where any underlying referenced by a TradFi Perpetual Contract is subject to a corporate action (including without limitation cash dividends, stock splits, reverse splits, bonus issues, rights issues, spin-offs, mergers, acquisitions, ticker changes, halts, suspensions, delistings, or any other event affecting the price, identity, supply or capital structure of the underlying), DeriW reserves the right, in its sole discretion and without prior notice, to: (a) suspend trading in the relevant TradFi Perpetual Contract, or place it into close-only mode, for any period before, during or after the corporate action; (b) adjust the contract specifications, reference price, mark price, funding rate, position sizes, margin requirements, account balances and any other parameter of the relevant TradFi Perpetual Contract to reflect the corporate action and to maintain consistency with the underlying market and to prevent arbitrage; (c) where any corporate-action data is later revised, restated, corrected or withdrawn by official sources or third-party data providers, correct the application of such data, recompute the impact of the corporate action retrospectively, and reverse, recompute or restate any trade, position, profit-and-loss outcome or account adjustment that was affected by erroneous data; and (d) take any other action that DeriW considers reasonably necessary to address the corporate action or to correct any error arising from corporate-action data.

You acknowledge and agree that corporate-action data may be subject to error, delay, revision or restatement, that DeriW, its Affiliates and any third-party data providers are not liable for any loss, slippage, liquidation, opportunity cost or other adverse outcome arising from any such error, delay, revision or restatement, and that you will cooperate with any reasonable measures taken by DeriW under this Section 7.5.

## 8. Vaults and Liquidity Provision

### 8.1 Vault Products

The Protocol may make available pooled-deposit products (“Vaults”) through which Users may deposit Digital Assets to provide liquidity, market-making capacity, or counterparty support to the Protocol in exchange for a share of fees, rewards or profit-and-loss attributable to the relevant Vault. The current Vault products offered by DeriW are listed in Schedule C. DeriW may add, remove, vary, suspend or terminate any Vault product at any time, and may amend Schedule C without amending the body of these Terms. The specific terms applicable to each Vault product are set out in that product’s documentation, which forms part of these Terms in respect of that product. Vault deposits are subject to the smart-contract risks, market risks, oracle risks, leverage risks and other risks set out in these Terms, and may result in partial or total loss of the deposited Digital Assets.

### 8.2 No Guarantee of Return

We do not guarantee any return, yield, distribution or principal protection in respect of any Vault. Past performance is not indicative of future results. Withdrawal from a Vault may be subject to delays, lock-up periods, pro rata limits, fees or other conditions described in the Vault’s documentation, which forms part of these Terms in respect of that Vault.

## 9. The $DER Token

### 9.1 Nature

If a token is or has been issued in connection with the Protocol (the “$DER Token”, a governance and utility token), the $DER Token is intended to function as a utility and/or governance token within the Protocol. The $DER Token does not represent any ownership interest, equity, share, partnership interest, debt instrument, security, deposit, savings product, fund or other regulated financial instrument; does not entitle the holder to any dividend, interest, distribution or return; does not confer any right in respect of DeriW’s revenues, profits or assets; and does not provide any expectation of profit derived from the entrepreneurial or managerial efforts of DeriW, its Affiliates or any other party. For the avoidance of doubt, ownership of the $DER Token does not constitute ownership of, equity in, partnership interest in, or any claim against, DeriW Foundation Ltd, its Affiliates or any of their respective assets.

### 9.2 No Offer or Sale

Nothing in these Terms or on the Interface constitutes an offer or sale of the $DER Token in any jurisdiction in which such offer or sale would require registration, licensing, prospectus, disclosure or other regulatory approval that has not been obtained. Where any $DER Token is distributed (whether by airdrop, mining, reward, sale or otherwise), such distribution is subject to additional terms made available at the time of distribution.

## 10. Fees and Taxes

### 10.1 Fees

The Protocol and the Interface may charge fees in connection with transactions, including trading fees, funding payments, withdrawal fees, settlement fees and other fees. The applicable fees are as set out in the Interface and may be amended by us at any time without prior notice. Blockchain network fees (where applicable) are payable by you to the relevant network and are not retained by DeriW.

### 10.2 Taxes

You are solely responsible for determining what taxes (including income, capital gains, value-added, withholding and similar taxes) apply to your activity on the Protocol and through the Interface, for filing all required tax returns and for paying all taxes to the relevant authorities. DeriW does not provide tax advice and is not responsible for any tax consequences of your activity. Where required by Applicable Law, we may withhold or report information to tax authorities.

## 11. Risk Disclosure

You acknowledge and agree that your use of the Interface, the Protocol and the Services is at your own risk. Without limiting any other provision of these Terms, you acknowledge that material risks include those set out in Schedule B and the following:

* Volatility: prices of Digital Assets and other underlyings can move sharply and rapidly; entire positions can be lost in seconds.
* Leverage: trading Perpetual Contracts with leverage magnifies both gains and losses; you can lose more than your initial margin.
* Liquidation: positions may be liquidated automatically without notice; partial or total loss of margin may result.
* Smart-contract risk: smart contracts may contain bugs, may be exploited, may be paused, upgraded or governed in ways that adversely affect you, and may be subject to oracle failure, MEV, sandwich attacks and other on-chain attack vectors.
* Network risk: blockchain networks may experience congestion, downtime, forks, reorganisations and other events that delay or prevent settlement of transactions.
* Oracle and data risk: prices and other inputs depend on third-party oracles and data sources, which may fail, be delayed or be manipulated.
* Cyber-security risk: your Wallet, devices, networks and credentials may be compromised by third parties, resulting in irreversible loss of Digital Assets.
* Regulatory risk: the legal and regulatory treatment of Digital Assets and decentralised finance is uncertain and rapidly evolving; future regulation may adversely affect your ability to access the Services or the value of Digital Assets.
* Counterparty and third-party risk: third-party Wallets, bridges, custodians, stablecoin issuers and infrastructure providers may fail.

## 12. Intellectual Property

### 12.1 Ownership

As between you and DeriW, DeriW and its licensors own all right, title and interest in and to the Interface, including all software, designs, text, graphics, logos, audio, video, data, databases, documentation and other content made available through the Interface (the “DeriW Materials”), and all related intellectual property rights. All rights not expressly granted in these Terms are reserved.

### 12.2 Limited Licence

Subject to your compliance with these Terms, DeriW grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Interface solely for your own non-commercial use of the Services and the Protocol. You must not (i) sell, sublicense, distribute or otherwise commercially exploit the DeriW Materials; (ii) modify, adapt or create derivative works of the DeriW Materials; or (iii) remove or alter any proprietary notices.

### 12.3 Feedback

If you provide any feedback, suggestions or ideas in connection with the Interface or the Services (“Feedback”), you grant DeriW a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, modify and exploit the Feedback for any purpose without compensation or attribution to you.

## 13. User Content

### 13.1 Licence

You retain all rights in any User Content you submit through the Interface. You grant DeriW a non-exclusive, worldwide, royalty-free, sublicensable and transferable licence to use, host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform and display the User Content in connection with operating, providing and improving the Interface and the Services.

### 13.2 Representations

You represent and warrant that you have all rights, licences, consents and permissions necessary to grant the licence in Section 13.1 and that your User Content does not infringe any third-party right, violate Applicable Law or breach these Terms.

## 14. Privacy and Data

Your use of the Interface is subject to our Privacy Policy and our Cookie Policy, each of which forms part of these Terms. You acknowledge that, due to the nature of blockchain technology, certain on-chain activity associated with your Wallet may be publicly visible, immutable and beyond DeriW’s control.

## 15. Disclaimers

### 15.1 “As Is”

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE INTERFACE, THE SERVICES AND THE DERIW MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, UNINTERRUPTED OR ERROR-FREE OPERATION, OR FREEDOM FROM HARMFUL CODE.

### 15.2 No Guarantees

WITHOUT LIMITING THE FOREGOING, DERIW MAKES NO REPRESENTATION OR WARRANTY THAT THE INTERFACE OR THE SERVICES WILL MEET YOUR REQUIREMENTS; THAT ACCESS WILL BE TIMELY, UNINTERRUPTED OR SECURE; THAT ANY ORACLE, INDEX OR DATA SOURCE WILL BE ACCURATE OR AVAILABLE; THAT ANY TRANSACTION WILL BE EXECUTED, SETTLED OR LIQUIDATED AT ANY PARTICULAR PRICE OR TIME; OR THAT ANY DIGITAL ASSET WILL BE OR REMAIN LISTED, SUPPORTED OR TRANSFERABLE.

## 16. Limitation of Liability

### 16.1 Exclusion of Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DERIW, ITS AFFILIATES OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE INTERFACE, THE PROTOCOL OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

### 16.2 Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF DERIW AND ITS AFFILIATES IN RESPECT OF ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE INTERFACE OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO DERIW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, AND (B) USD 100

### 16.3 Allocation of Risk

THE LIMITATIONS IN THIS SECTION 16 ARE A FUNDAMENTAL ELEMENT OF THE BARGAIN BETWEEN YOU AND DERIW AND APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

## 17. Indemnification

To the maximum extent permitted by Applicable Law, you will defend, indemnify and hold harmless DeriW, its Affiliates and their respective officers, directors, employees, agents and licensors from and against any and all claims, demands, suits, proceedings, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with (i) your access to or use of the Interface, the Protocol or the Services; (ii) your breach of these Terms; (iii) your violation of any Applicable Law or third-party right; or (iv) any User Content you submit. We may, at our election and at your expense, assume the exclusive defence and control of any matter for which you are required to indemnify us, and you will cooperate fully with our defence.

## 18. Governing Law and Dispute Resolution

### 18.1 Governing Law

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by, and construed in accordance with, the laws of England and Wales, without regard to its conflict-of-laws rules.

### 18.2 Arbitration

Any dispute, controversy or claim arising out of or in connection with these Terms, the Interface, the Protocol or the Services, including any question regarding their existence, validity, breach or termination, will be referred to and finally resolved by arbitration administered by the London Court of International Arbitration (LCIA) in accordance with the LCIA Arbitration Rules in force at the time of commencement of the arbitration, which rules are deemed incorporated by reference into this Section. The seat of arbitration will be London, England. The number of arbitrators will be one. The language of the arbitration will be English.

### 18.3 Class-Action Waiver

YOU AND DERIW EACH AGREE THAT ANY DISPUTE-RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

### 18.4 Equitable Relief

Nothing in this Section 18 prevents either party from applying to a court of competent jurisdiction for interim, injunctive or equitable relief in support of, or pending the outcome of, an arbitration.

### 18.5 Time Limit

Any claim you may have arising out of or in connection with these Terms or the Services must be brought within one (1) year after the cause of action arises. Otherwise, the claim is permanently barred.

## 19. General

### 19.1 Amendments

We may amend these Terms (including the Schedules) at any time by posting the amended version on the Interface. Amendments take effect immediately on posting unless a later effective date is specified. Your continued access to or use of the Interface or the Services after an amendment takes effect constitutes acceptance of the amended Terms. If you do not agree to an amendment, you must cease all access to and use of the Interface and the Services.

### 19.2 Termination and Suspension

We may suspend, restrict or terminate your access to the Interface or any of the Services at any time, with or without cause, with or without notice, including by placing your access into close-only mode or by blocking transactions originating from your Wallet. Sections 1, 5, 11, 12, 15, 16, 17, 18 and 19 (and any other provision which by its nature is intended to survive) will survive termination.

### 19.3 Assignment

You may not assign, novate or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign, novate or transfer our rights or obligations under these Terms at any time without your consent, provided that the assignment, novation or transfer does not materially diminish your rights.

### 19.4 Notices

All notices to DeriW must be sent in writing to its registered office at Citrus Grove, Ground Floor 106 Goring Avenue, Suite #647, 10 Market Street Camana Bay George Town, Grand Cayman, KY1-9006, Cayman Islands. We may give notice to you by posting on the Interface, by email to the address you have provided (if any) or by message through the Interface.

### 19.5 Entire Agreement

These Terms, together with the Schedules and any document expressly incorporated by reference, constitute the entire agreement between you and DeriW with respect to the subject matter and supersede any prior or contemporaneous understandings.

### 19.6 Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions will remain in full force and effect, and the invalid, illegal or unenforceable provision will be modified to the minimum extent necessary to make it valid, legal and enforceable while preserving the parties’ original intent.

### 19.7 No Waiver

No failure or delay by DeriW in exercising any right or remedy under these Terms operates as a waiver, and no single or partial exercise prevents any further exercise.

### 19.8 Third-Party Rights

A person who is not a party to these Terms has no right to enforce any term, except that the Affiliates and personnel of DeriW may enforce Sections 15, 16, 17 and 18 as third-party beneficiaries.

### 19.9 Force Majeure

We will not be liable for any delay or failure to perform under these Terms to the extent caused by any event beyond our reasonable control, including without limitation acts of God, war, terrorism, civil unrest, government action, sanctions, pandemic, network or blockchain congestion or failure, oracle failure, third-party infrastructure failure, cyber-attack, regulatory order or change in Applicable Law.

### 19.10 Language

These Terms are made in English. Any translation is provided for convenience only and, in the event of inconsistency, the English version prevails.

### 19.11 Headings and Construction

Headings are for convenience only and do not affect interpretation. References to “including” and “includes” are not limiting.

## Schedule A - Restricted Jurisdictions

*This Schedule may be amended by DeriW at any time. The lists below reflect DeriW’s tiered restriction policy as in force on the effective date of these Terms.*

### A.1 Tier 1 - Full Restriction

Access to the Interface and the Services is fully prohibited for any Restricted Person with a material nexus to any of the following jurisdictions:

·       Cuba

·       Iran

·       Democratic People’s Republic of Korea (North Korea)

·       Syria

·       Russian Federation

·       Belarus

·       Myanmar

·       Crimea, Donetsk, Luhansk, Zaporizhzhia and Kherson regions (Ukraine, occupied)

·       Venezuela

### A.2 Tier 2 - Close-Only Mode

For Restricted Persons with a material nexus to the following jurisdictions, the Interface may be placed into close-only mode in which existing positions may be closed and Digital Assets may be withdrawn, but new positions may not be opened and deposits may be refused:

·       United States of America (all states and territories)

·       United Kingdom

·       Canada (all provinces and territories)

### A.3 Tier 3 - TradFi Perpetual Contract Restriction

For Restricted Persons with a material nexus to the following jurisdictions, access to crypto Perpetual Contracts and other Services remains available, but TradFi Perpetual Contracts (Section 7) are not available:

·       European Economic Area (all member states of the European Union, plus Iceland, Norway and Liechtenstein)

·       Singapore

·       Hong Kong SAR

·       Australia

·       Japan

·       Republic of Korea (South Korea)

·       United Arab Emirates

·       Brazil

### A.4 Sanctioned Persons

In addition to the jurisdictional restrictions above, the Services are not available to any person identified on a sanctions list maintained by the United Nations, the United States Office of Foreign Assets Control (OFAC), the United Kingdom HM Treasury, the European Union, or any other sanctions authority recognised by Applicable Law, and to any person owned (50% or more, directly or indirectly) or controlled by any such person.

## Schedule B - Additional Risk Disclosures

This Schedule supplements (and does not limit) Section 11. The risks below are not exhaustive. You should not access or use the Interface or Services unless you have carefully considered and accepted all relevant risks.

### B.1 Architectural and Protocol Risks

·       The Protocol relies on smart contracts and third-party blockchain infrastructure. Bugs, exploits, oracle manipulations, validator failures, network forks and similar events may result in irreversible loss of Digital Assets.

·       DeriW and the Protocol may rely on layer-2, layer-3, sequencer, settlement-layer or cross-chain infrastructure. Failure, censorship or compromise of any such infrastructure may render the Protocol or the Services unavailable, delayed or insecure.

·       The Interface uses gas-abstracted or meta-transaction signing models. Bugs or exploits in the relayer or signing infrastructure may result in transaction failure, double-spend or unauthorised execution.

### B.2 Market and Counterparty Risks

·       Liquidity may be thin or absent for certain Perpetual Contracts, particularly during volatile periods, which may result in significant slippage, partial fills or inability to close a position.

·       Insurance funds, if any, may be inadequate to cover loss in periods of extreme market stress, in which case losses may be socialised across users with positive positions or other risk-sharing mechanisms applied.

·       Stablecoins used as collateral are issued by third parties and may de-peg, be frozen, blacklist your Wallet or fail.

### B.3 Regulatory and Tax Risks

·       The legal and regulatory treatment of Digital Assets, decentralised finance, Perpetual Contracts and tokenised TradFi instruments is uncertain and varies by jurisdiction. Future legislative, regulatory or judicial action may adversely affect your access, holdings or rights, retroactively or otherwise.

·       You are responsible for understanding and complying with all tax, reporting and other legal obligations applicable to your activity.

### B.4 Security Risks

·       Your Wallet, devices, internet connection and credentials may be compromised by malware, phishing, social engineering, supply-chain attacks or otherwise, resulting in irreversible loss of Digital Assets.

·       Third-party browser extensions and software may interfere with or intercept your interaction with the Interface.<br>

## Schedule C. Current Vault Products

This Schedule supplements Section 8 (Vaults and Liquidity Provision). The Vault products listed below are those offered by DeriW as at the effective date of these Terms. DeriW may add, remove, vary, suspend, terminate or rename any Vault product at any time, and may amend this Schedule without amending the body of these Terms. Each Vault product is governed by its own product documentation, which forms part of these Terms in respect of that product.

### C.1 PendulumAMM Liquidity Provision

Users may deposit Digital Assets into the PendulumAMM liquidity pool to provide market-making liquidity for trading on the Protocol. PendulumAMM liquidity providers (LPs) receive LP tokens or equivalent interests representing their proportional share of the pool and any associated fees, rebates or rewards, and bear the associated risks of impermanent loss, smart-contract failure, oracle failure, market loss and liquidity loss. The specific operating terms, fee schedule, withdrawal mechanics and risk parameters of the PendulumAMM are set out in the PendulumAMM product documentation.

### C.2 Super Stake Vaults

Users may deposit Digital Assets into Super Stake Vaults to participate in staking, restaking, yield generation or other Protocol-related strategies in exchange for a share of fees, rewards, distributions, or profit-and-loss attributable to the relevant Vault. Super Stake Vault deposits are subject to lock-up periods, withdrawal queues, slashing risk where applicable, smart-contract risk, market risk, and the other risks set out in these Terms. The specific operating terms, lock-up periods, fee schedule and risk parameters of each Super Stake Vault are set out in the relevant Super Stake Vault product documentation.

### C.3 No Guarantee, No Endorsement

Nothing in this Schedule constitutes a guarantee, endorsement, recommendation, or statement of opinion in respect of any Vault product. Users should review the relevant product documentation, understand the risks, and form their own view before depositing any Digital Assets. Past performance is not indicative of future results.
